1. Acceptance of Terms

2. Services Description

VoiceAI provides voice AI technology that enables businesses to create and deploy conversational voice agents. The Services include but are not limited to voice synthesis, speech recognition, natural language understanding, and related tools and APIs. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

The features and functionality of the Services may vary depending on your subscription plan. Some features may be limited or unavailable depending on your plan, your location, or the device you're using. We make no guarantee that the Services, or any portion thereof, will function on any particular hardware or device.

3. Privacy Policy

Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our users. You acknowledge and agree that your use of the Services is subject to our Privacy Policy.

5. Limitations of Use

You agree not to use the Services:

• To transmit any material that is defamatory, obscene, invasive of another's privacy, harassing, or otherwise objectionable.
• To impersonate or attempt to impersonate VoiceAI, a VoiceAI employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
• To attempt to probe, scan, or test the vulnerability of the Services or any related system or network or breach any security or authentication measures.
• To use any automated process or service to access and/or use the Services.
• To introduce any viruses, Trojan horses, worms, logic bombs, or other materials that are malicious or technologically harmful.

Additionally, you agree not to use the Services to generate voice content that is illegal, fraudulent, or violates the rights of others, including but not limited to intellectual property rights and privacy rights.

6. Termination

VoiceAI may terminate or suspend your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may simply discontinue using the Services, or you may contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, VOICEAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VOICEAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VOICEAI DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOICEAI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

IN NO EVENT SHALL VOICEAI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO VOICEAI FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless VoiceAI, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Services, your violation of these Terms, or your violation of any third party right, including without limitation any copyright, property, or privacy right.

10. General Terms

Governing Law: These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Entire Agreement: These Terms constitute the entire agreement between you and VoiceAI regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Services.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and VoiceAI's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
